Here is a Summary of Changes: RTA Bylaws (2022 vs. 2025). Below, you can download a copy of the Bylaws with (the red strikethrough changes), and the new Bylaws 2025 (which need your approval).
• 🔄 Article Renumbering & Reordering:
Governance moved from Article III to Article VI in the 2025 draft.
Membership and Meetings now appear earlier for better flow.
• ✍ Terminology Updates:
Changed 'Sergeant of Arms' to 'Sergeant-at-Arms'.
Updated references to 'Secretary' as 'Recording Secretary' in some places.
• 📌 Officer Composition & Elections:
Clarified officer roles and added eligibility rules for Chair and Treasurer.
Chair succession: 1st Vice Chair now automatically steps up upon vacancy.
Eligibility for Treasurer now includes criteria for prior active participation.
• 📅 Meetings & Procedures:
Executive Board must meet monthly; special meeting notice clarified.
General meeting agenda posting clarified to include digital announcements.
• 💼 Financial Rules:
New requirement for dual signers on checks.
Chair may sign checks if Treasurer unavailable for 48 hours.
• 🛡 Indemnification Clause:
Officers and volunteers protected from legal expenses if acting in good faith.
Added limits to indemnification if misconduct is found.
• ⚖ Conflict of Interest:
Expanded disclosure rules and abstention requirements for votes.
New clause on reasonable compensation and board oversight.
• 🗳 Election Procedures:
Election timeline and certification clarified.
